By accessing and using ClearPayer ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

ClearPayer provides an invoice management and processing service that helps businesses automate the receipt, validation, and management of vendor invoices through email-based workflows.

3. User Accounts

Account Registration

  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the security of your account
  • You must notify us immediately of any unauthorized access
  • One person or legal entity may maintain only one account

Account Responsibilities

  • You are responsible for all activities under your account
  • You must not share your account credentials
  • You must use the service only for lawful business purposes

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any laws or regulations
  • Transmit malicious code or conduct security attacks
  • Interfere with or disrupt the Service
  • Access data or accounts you're not authorized to access
  • Use the Service for fraudulent or deceptive purposes

  • ClearPayer and related trademarks are our property
  • The Service software and technology are protected by intellectual property laws
  • You may not copy, modify, or reverse engineer our Service

Your Rights

  • You retain all rights to your business data and content
  • You grant us a limited license to process your data for Service delivery

9. Termination

By You

  • You may cancel your account at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • You remain responsible for charges incurred before termination

By Us

  • We may suspend or terminate accounts that violate these Terms
  • We may terminate the Service with 30 days' notice
  • We will provide reasonable opportunity to export your data

10. Disclaimers and Limitations

Service Disclaimer

The Service is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tennessee, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Tennessee.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the new Terms.
